Annual meeting 2023

As you all know this board has hit a few bumps along the way their first year in office. We started off with a pretty full board however we had some members got their feelings hurt and quit so sad to say it is just myself who was voted in by property owners and Sharon who was appointed by the board and has done a phenomenal job.

Our annual meeting will be on February 25th at 12:00 p.m. at the Ramada I have seen that Julie schilling has set up a link if you would like to join us on a zoom call. Thank you for that Julie that's a big help since this is such short notice.

We will be giving you the results of our ballots that have gone out to you and if you have not mailed them back yet please do so as to we can get your vote counted.

We hope to see you all there and we will be providing some cookies, muffins and possibly some coffee. make sure to bring a chair and something hot to drink as it might be fairly cold.

The amendment to bestow upon the board the power to cancel elections under any conditions preventing some members from being nominated from the floor of the annual meeting is shady. I doubt it could pass judicial scrutiny.

The amendment added to try and give the board power over determining who is nominated for elections and thus preventing members from the opportunity to cast their vote and decide for themselves is super shady. I doubt it could pass judicial scrutiny.

ree

members were also stripped of their power to submit their own items for a vote.

ree

that is super duper shady. Why would anyone make that change and call it necessary? The summary of changes completely glosses over this and just mentions absentee ballots. If we are straight-up deleting a member's right the justification for that change should be clearly spelled out. Under Article IV member voting number 2 was completely deleted. It provided the right for any member to attend and vote at meetings

Again, there is no mention in the summary that any right is being deleted. Just a mention of proxies. A better edit would have been to strike the word proxy and insert the word absentee ballot to retain and secure the otherwise clearly spelled rights for the members to attend and vote at meetings This one is small potatoes but the members previously had the right to vote on the date and time of their annual meeting

Originally a new board would immediately meet after the annual member meeting allowing for officers to be chosen. President, Vice President, Secretary, and Treasurer.

Deleting this provision means officer organization is slow walked for up to 30 days after the annual meeting. That's abnormal to make the change to delay officer selection. Here is one of my most interesting discoveries. Under the original bylaws, the members elected the board of directors under a modified system where the number of votes was multiplied by the number of director positions that were open. So for example, if you had 40 acres you would normally have 40 votes total but when voting for all 5 board positions you would have the ability to cast 200 votes. This is essentially a vote-cast boost and it only applies to director elections.

So no, I disagree with and reject any characterization ALL the changes that were made were necessary. thank you for providing the original and summary for justifications for change.
